
MAI Works Terms and Conditions

INTRODUCTION
By accessing or using any product or service provided by MAI Works, MAi Pay, MAi Calls LLC, or any affiliated brands, services, or associated companies (“MAI Works,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions (“Terms”).
These Terms govern your use of our websites, digital platforms, payment-related services, consulting, automation tools, software, communication systems, marketing services, websites, and all associated products and features (collectively, the “Services”).
If you do not agree with these Terms, you may not use our Services. We reserve the right to update or modify these Terms at any time. Continued use of our Services constitutes acceptance of any updates.
DEFINITIONS
Client:
Any individual, business, organization, or entity using MAI Works services.
Services:
Any payment, automation, website, marketing, consulting, software, communication, AI, digital, or business-growth solution provided by MAI Works, MAi Pay, MAi Calls LLC, or affiliated entities.
Third-Party Providers:
External processors, software providers, hosting platforms, CRMs, payment networks, integrations, automation tools, or related service providers used alongside our Services.
Transaction Data:
Any information generated from payment processing, digital transactions, or platform activity.
Fees:
Any service charges, subscriptions, setup fees, processing fees, software fees, project fees, or related costs associated with our Services.
ELIGIBILITY
Our Services are intended for lawful businesses and individuals at least 18 years old within the United States. By using our Services, you confirm that you have the authority to enter legally binding agreements on behalf of yourself or your business.
SERVICE DESCRIPTION
MAI Works provides business-growth, payment, digital, and operational support solutions designed to help businesses improve visibility, customer engagement, automation, and payment acceptance.
Services may include, but are not limited to:
• Payment processing solutions
• Website and landing page development
• Google Business Profile optimization
• CRM and automation integrations
• AI communication tools
• Social media and branding guidance
• Review and reputation management strategies
• Online business consulting
• Analytics and reporting tools
• Business communication and support services
• Marketing and digital-presence solutions
Services and features may be updated, modified, expanded, or discontinued at any time without prior notice.
ACCOUNT SETUP & APPROVAL
Certain Services may require onboarding, underwriting, identity verification, account approval, or third-party provider authorization.
We may request business documentation, identification, financial information, or verification materials to comply with applicable regulations and provider requirements.
Clients are responsible for maintaining accurate account information and protecting their login credentials and business data.
FEES & PAYMENT
Fees for Services will be disclosed through invoices, proposals, agreements, merchant-processing documentation, or related communications.
Certain Services may involve:
• One-time setup fees
• Monthly subscription fees
• Payment-processing fees
• Software or platform fees
• Third-party provider costs
• Project-based pricing
Payment-processing Services may also be subject to separate agreements and underwriting approval through third-party processors or financial institutions.
Late or unpaid balances may result in suspension or termination of Services.
CLIENT RESPONSIBILITIES
Clients agree to:
• Provide accurate and lawful business information
• Use Services in compliance with all applicable laws and regulations
• Maintain appropriate cybersecurity and account protections
• Respond promptly to support, verification, or compliance requests
• Use all software, hardware, and Services as intended
Clients are solely responsible for the legality, accuracy, and ownership of all submitted content, business information, and materials.
THIRD-PARTY SERVICES
MAI Works may integrate, recommend, or utilize third-party providers including payment processors, CRMs, hosting providers, software platforms, automation tools, and marketing services.
We are not responsible for outages, pricing changes, service interruptions, delays, security incidents, or functionality issues caused by third-party providers.
DATA SECURITY & PRIVACY
We take reasonable measures to protect sensitive information using industry-standard technologies and security practices. However, no method of transmission, storage, or digital communication can be guaranteed completely secure.
Clients are responsible for securing their own devices, systems, passwords, and business networks.
LIMITATION OF LIABILITY
All Services are provided “as is” and “as available” without warranties of any kind.
MAI Works, MAi Pay, MAi Calls LLC, and affiliated entities shall not be liable for indirect, incidental, consequential, special, or punitive damages including loss of profits, loss of business, data loss, downtime, or interruption arising from the use of our Services.
Your sole remedy for dissatisfaction with the Services is to discontinue use.
TERMINATION & SUSPENSION
We reserve the right to suspend or terminate Services immediately for:
• Violation of these Terms
• Fraudulent or unlawful activity
• Excessive chargebacks or network violations
• Non-payment or unresolved balances
• Abuse or misuse of Services
• Security or compliance concerns
Clients may terminate Services with written notice, subject to any active agreements or outstanding balances.
GOVERNING LAW
These Terms shall be governed by and interpreted under the laws of the State of Florida, without regard to conflict-of-law principles.
DISPUTE RESOLUTION
Any disputes arising from these Terms or related Services shall be resolved through binding arbitration in Broward County, Florida.
Each party shall bear its own legal fees unless otherwise required by applicable law.
MODIFICATIONS TO SERVICES OR TERMS
We reserve the right to modify pricing, policies, Services, features, or these Terms at any time with reasonable notice through email, website posting, or other communication methods.
Continued use of the Services after changes are posted constitutes acceptance of those changes.
